DATO’ AMELDA MD DIN is the founding partner and Managing Partner of Messrs. Amelda & Partners with more than 25 years’ experience as a litigator and corporate advisor.

Regularly advice on complex litigation in civil and commercial law, Dato’ Amelda has extensive experience working on a wild spectrum of local and cross-border finance transactions. She advises clients on a wide area of law such as mergers and acquisitions, corporate securities, venture capital and private equity, banking and finance, mining, infrastructure and construction matters, shipping and admiralty. Strong knowledge of governing laws and bylaws and how to implement company procedures.

  • Regularly briefed in diverse range of areas of civil disputes including general breach of contract, banking and finance, negligence, defamation, fraud, claims, real estate and development, land acquisition, forfeiture, Islamic finance dispute, shipping and maritime claims, mining, construction, and other civil matters including arbitration for construction dispute.

Conveyancing Housing Transaction

  • She has acted regularly in the real property transactions including but not restricted to the Sale and purchase agreement, Financial facility agreement, charges and discharge of charge and entry and removal of caveats. Currently, the firm is dealing with a major government-based project, PPA1M in Putrajaya under her supervision

The notable involvement by Dato’ Amelda includes among others as follows:

  • Advised and represented several local public listed companies, property developers and co-operatives in the amicable resolution of disputes in the courts.

  • Advised and represented banks and financial institutions in defending claims, including one of Malaysia’s largest commercial banks in successfully defending an action brought by a Malaysian developer.

  • Advised and represented various local and foreign banks as well as financial institutions at all levels of the Malaysian Courts in the successful recovery of banking facilities, including the foreclosure of properties charged and / or assigned, winding-up, bankruptcy, appointment of receivers, etc.

  • Involvement in take-overs of local companies by foreign public listed companies, in charge of the due diligence exercises & corporate documentations.

  • Represented a foreign company in corporate litigation in the High Court, Court of Appeal and the Federal Court involving dispute over a gold mining lease, which involved injunction application, assessment of damages hearing , striking out of the suit on issue of locus due to deregistration under Business Registration Act, removal of liquidator etc.

  • Specializes in Islamic banking loans e.g Al-Mudharabah (Trustee Profit Sharing), Al-Mushakarah (Joint Venture Profit Sharing), Al-Bai Bithaman Ajil (Deferred Instalment Sale), Bai Al-Murabahin (Deferred Lump Sum Sale) Al-Ijarah, Bai Al-Salam, Bai Al- Istisna and others.

  • Focuses on negotiating, drafting, and advising on front-end project documentation, she has advised a project owner on the development and construction of the extension light rail transit system (LRT3), highways, including negotiating and drafting all relevant project documentation.

  • Legal counsel of a foreign public listed company in Canada which owns and operates the Gold Portfolio in Malaysia and Western Australia, in providing advice on its investments and business in Malaysia, on laws on taxation , import export etc.

  • Specializes in construction law and having conducted trials in Court , CIPAA and arbitration.
